1. Introduction
This Client Agreement (“Agreement”) outlines the terms and conditions for Clients (“Clients”) using the VT Nova Jobs platform (“Platform”) to find and hire skilled Service Providers (“Providers”) for various projects and services. By accessing and using the Platform, Clients agree to be bound by this comprehensive Agreement, which aims to ensure a safe, secure, and successful experience for all users.
2. Service Descriptions
- Clients must clearly describe their service requirements and expectations in their project postings, including but not limited to:
- Project scope and objectives
- Deliverables and timelines
- Budget and payment terms
- Any specific requirements or preferences
3. Payment Terms
- Clients must make payments for services through the Platform’s payment system, which offers secure and convenient payment options.
- Clients are responsible for ensuring timely payment for services, as outlined in the project agreement.
4. Communication
- Clients must communicate with Providers exclusively through the Platform’s messaging system, which ensures a record of all communication and helps prevent misunderstandings.
5. Intellectual Property
- Clients retain ownership of all Intellectual Property Rights in their project materials and content, including but not limited to:
- Text, images, and other media
- Trademarks and branding
- Confidential information
- Providers assign and transfer all rights, title, and interest in the Work Product to Clients upon receipt of full payment.
6. Confidentiality
- Clients must maintain Provider confidentiality and protect sensitive information, including but not limited to:
- Business secrets and strategies
- Personal data and contact information
- Confidential project materials
7. Termination
- Either party may terminate this Agreement with written notice, subject to existing service agreements and project commitments.
8. Changes to Agreement
- VT Nova Jobs reserves the right to update this Agreement at any time, with notice to Clients, to reflect changes in the Platform, services, or applicable laws.
9. Governing Law
- This Agreement is governed by and construed in accordance with the laws of the country in which the Client resides, which ensures that Clients are protected by the laws of their country of residence.
10. Jurisdiction
- Any disputes or claims arising from this Agreement will be resolved through arbitration in the country in which the Client resides, in accordance with the arbitration laws of that country.
11. Mediation and Support
- VT Nova Jobs is not liable for any issues that arise between Clients and Providers, but will provide assistance to resolve any disputes or issues that may arise, including:
- Facilitating communication and negotiation
- Providing guidance on Platform policies and procedures
- Offering support for payment and project management issues
By using the Platform, Clients acknowledge and agree to be bound by this comprehensive Agreement. If you do not agree, please do not use the Platform.
